A legally binding agreement between you and Cari Finance, Inc.
These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Cari Finance, Inc. ("Cari," "we," "us," or "our") governing your access to and use of the Cari healthcare software platform, including our website, mobile applications, and related services (collectively, the "Platform").
By accessing or using the Platform, you agree to be bound by these Terms. If you disagree with any part of these Terms, you may not access the Platform.
Requirements for using the Platform.
You must be at least 18 years old and have the legal capacity to enter into binding contracts. If you are accessing the Platform on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

Ownership of the Platform and user content.
The Platform and all content, features, and functionality are owned by Cari and are protected by copyright, trademark, patent, and other intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of the Platform without our prior written consent.
You retain ownership of content you submit to the Platform ("User Content"). By submitting User Content, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, display, and distribute such content for purposes of providing the Platform services.
Subscription fees and payment processing.
Some features of the Platform require a paid subscription. You agree to pay all fees associated with your subscription:
Payment processing is handled by third-party processors. We are not responsible for any errors, fees, or issues arising from third-party payment processors.
Warranty disclaimers, medical disclaimer, and liability limitations.
THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND. WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.
CARI IS A SOFTWARE PLATFORM AND DOES NOT PROVIDE MEDICAL ADVICE, DIAGNOSIS, OR TREATMENT. ANY CONTENT PROVIDED THROUGH THE PLATFORM IS FOR INFORMATIONAL PURPOSES ONLY. Healthcare providers using the Platform are solely responsible for all medical decisions and patient care.
IN NO EVENT SHALL CARI BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE PLATFORM. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID BY YOU IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
Your obligation to defend and hold harmless Cari.
You agree to indemnify, defend, and hold harmless Cari and its officers, directors, employees, agents, and affiliates from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to:
How accounts may be terminated or suspended.
We may terminate or suspend your account and access to the Platform immediately, without prior notice or liability, for any reason, including breach of these Terms. Upon termination, your right to use the Platform will immediately cease.
You may cancel your subscription at any time through your account settings. No refunds will be provided for partial billing periods.
Delaware law and binding arbitration.
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions. Any dispute arising from these Terms shall be resolved through binding arbitration in accordance with the American Arbitration Association rules.
General legal provisions.
These Terms constitute the entire agreement between you and Cari
Our failure to enforce any right provision does not constitute a waiver
If any provision is found unenforceable, remaining provisions continue in effect
You may not assign these Terms without our consent
